Projects have included single-family, cluster and condominium residential development, apartment projects, nursing homes and senior living, hotel and hospitality projects (including condominium-hotel, fractional and timeshare forms of ownership); office and retail development. Services in these transactions have included preparation and negotiation of purchase and sale agreements; property due diligence and analysis; title review and insurance; analysis of local, state and federal tax impacts; analysis of zoning impacts and required rezoning, variances and other procedural requirements; obtaining of necessary licenses (such as alcoholic beverage licenses); negotiation of loan documents for acquisition and construction; negotiation of brokerage, management, development and construction contracts; preparation of lease and management agreements; preparation and filing as necessary of homeowner association, condominium, condominium-hotel and fractional ownership documents; negotiation of hotel franchise, management and operational documents; and structuring of the business investment vehicle.
